1 PURPOSE AND GENERAL PRINCIPLES
1.1 We have put in place this Investor Relations Policy which sets out the principles and practices that we apply in order to provide our shareholders and prospective investors with information necessary to make well-informed investment decisions and to ensure a level playing field.
1.2 We are committed to making timely and accurate disclosures in accordance with the various laws and regulations.
1.3 Unpublished material information is not selectively disclosed.
1.4 We regularly review this Investor Relations Policy to ensure its effectiveness.
2 SHAREHOLDER RIGHTS AND COMMUNICATIONS PRINCIPLES
2.1 We are committed to treating our shareholders fairly and equitably and have put in place the following governance arrangements:
(a) we facilitate the opportunity for our shareholders to participate effectively in and vote at general meetings of shareholders;
(b) our shareholders are informed of the rules, including voting procedures that govern general meetings of shareholders; and
(c) we allow persons who own our shares through corporations which provide nominee or custodial services to attend our general meetings as observers.
2.2 We strive to use clear and plain language in our communication with our shareholders.
2.3 We do not respond to rumours. However, if rumours indicate that material information has been leaked or they are in fact false or inaccurate, the rumours will be promptly denied or clarified via announcements made through SGXNET to the Singapore Exchange Securities Trading Limited (“SGX-ST”).
2.4 We give reasonable access to analysts and the media to help them formulate informed opinions about us, but will not seek to influence those opinions.
3 SHAREHOLDERS’ MEETINGS
3.1 Our annual general meetings are the principal communication channels with our shareholders.
3.2 Our shareholders are sent a copy of our annual report with the notice of annual general meeting. As and when an extraordinary general meeting is to be held, our shareholders will be sent a copy of a circular with the notice of extraordinary general meeting which would contain details of the resolutions for approval.
3.3 Notices for the general meetings setting out all items of business to be transacted at the general meeting are also announced via SGXNET to SGX-ST.
3.4 Our members of the Board, senior management and external auditors are in attendance at all general meetings to address our shareholders’ queries. Our shareholders are given the opportunity to communicate their views on matters relating to the resolutions. A shareholder is allowed to appoint up to two proxies to attend and vote at the general meetings in his/her stead.
3.6 We support voting by poll at all general meetings and the poll results are announced via SGXNET to SGX-ST on the same day of each general meeting.
